Each hypervisor has a "little" overhead, but performance are now quite similar between the last hypervisor based products.

Maybe XenServer could be a little better with Linux guest (but ESX has VMI) and XenApp gest (but for ESX there are some trick to enhance the performance for virtualized XenApp).

For Windows guest IMHO ESX is a little better.

Features and could be different, to have more info there is a well done comparison (with also other products)

Thank for Answer.

But In my case i've server that 2 procresser sockets and 8 logical procresser. and used ESXi 4

So If i'd like to create VM and install 'window 2003 Enterprise' Is it see in guest OS on this VM for 8vCPU ? (When i'm login to guest os on VM and open information detail about CPU on this VM)

NO!

You HAVE TO BE AT ENTERPRISE PLUS licensing in order to take advantage of 8 vCPU's, period!

Feature are different also inside ESX versions:

As Troy has written you need the Enterprise Plus version, if you really need 8 vCPU per VM.
