I was able to back up my 4.0U1 environment no problem (update manager is on a separate standalone machine) and prepare a 2008r2 server no problem. The datamigration folder and "VIM.zip" file also copied to the local C: drive no problem. Unzipping also went fine. However, when I try to run the install.bat here is what I get:
C:\datamigration\datamigration>install.bat

Use windows explorer instead of command prompt. Right-click on install.bat and choose "run as administrator".
if it says requires an elevation then it requires " run as administrator " access.
