Quickbooks Pro 2010 "assertion failed" 2.0.5 to 3.1

I checked the forums but found nothing. When I exit Quickbooks Pro 2010 I receive a MS Visual C++ runtime "Assertion failed!" error (screen shots attached). I just upgraded to 3.1 from 2.0.5. Did an uninstall of 2.0.5 and clean install of 3.1 (Mac Pro 3,1 - OS X 10.5.8). Initially had to fix the Hosts (127.0.0.1 vmware-host) file so it would see the Shared folder and launch my company file. I uninstalled and reinstalled vmware tools, rebooted the VM & Mac. Nothing seems to get corrupted but it's odd that QB worked for well over a year until the upgrade. Other apps that use the same Share do not experience any issues.

I am also having trouble with Quickbooks Premier 2010 R5 installation on vmware fusion 3.1 (Version 3.1.1 (282344)) under Windows 7. That is quite a problem for me since it is really the only application I want to run using fusion.

Error 1334: the file 'migration.xslt' cannot be installed.

I note that despite uninstalling Quickbooks, a new install still complains that C:\Users\LWSINC~1\AppData\Local\Temp\Premier\QBooks\0x0409.ini already exists and I have to ask for it to be overwritten. However, I did move past the initial 1334 error, but the re-install instead failed on a 1904 error, "C:\Program Files\Intuit\Quickbooks 2010\ICWrapper.dll" failed to register.

According to Intuit, "If multiple errors are displayed and they specifically mention the files ICWrapper.dll, qbprefs.dll, and qbupdate.exe (among others), then the problem is probably caused by a damaged component of Microsoft Visual C+." The suggested resolution was to repair the MS Visual C+ 2008 installation, restart the machine, and then repair the Quickbooks installation. Deleting all of the old files in Temp, and resinstalling Quickbooks seemed to get Quickbooks installed, but then I hit another wall.

Error 3371, StatusCode -1118, "Quickbooks could not load the license data. This may be caused by missing or damaged files." To resolve this, Quickbooks required that I re-register the software (http://support.quickbooks.intuit.com/support/pages/knowledgebasearticle/1003521) and run the 3371 wizard (http://support.quickbooks.intuit.com/support/pages/knowledgebasearticle/1003521) which directed me to eventually remove and reinstall Quickbooks before re-registering the software.

Ultimately, when I try to load the program, it still gives a 3371 error and tells me to contact Technical support. Any suggestions what to do, because I don't have support access from Intuit and I have already spent two days on this problem.
