I am planning to upgrade a system running the following components:
DRS Cluster with ESX4 Update 2.
vSphere 4.1.0.
1 ESXi verson 5 update 3, not part of the cluster yet.

High level upgrade steps:
1. Verify your hardware is supported in the version of 5.x you want to go t
2. Upgrade vcenter requires a 64 bit machine
3. Upgrade update manager
4. Upgrade ESXi hosts
5. Upgrade VMFS versions
6. Upgrade host hardware and vmware tools
7. Upgrade switches if using vds
A lot of details are missing from this plan like what version you are going to... but don't miss #1 a lot has changed in supported hardware.
