Upgrade from VMware Server ESX 3i 3.5.0 to VMware vSphere 4.1 Essentials Plus Kit

We are going to upgrade our current free version of  ESX 3i 3.5.0 which hosted 2 VMs to vSphere 4.1 Essentials Plus.

As far as I know we should do the upgrade through Vcenter, however, our current ESX 3i 3.5.0 is a free version and we don't have Vcenter. Could we use the Vcenter which comes with Essential Plus to do the upgrade? (I'm asking it because I've heard that we can't use that Vcenter to connect any other VMware products)

So how could we do the upgrade in that case? Is there any way to do in place upgrade? or we should do a clean installation of vSphere 4.1? If so, how could we transfer our current VMs to the new host?!

Download vSphere host update utility that is packed with vSphere client 4.0.x. During the installtion of vSphere client, it gives an option to install vSphre Host update utility.
