Which edition do you have the license keys for?

An edition downgrade (the Evaluation defaults to Enterprise Plus) is only possible after features that are not available in the target edition have been disabled.
Example: In case you want to assign an Essentials Edition Key, make sure that advances features like HA, vMotion, etc. are not enabled/configured.

1. This warnings comes always even if you upgrade from the lowest up to EnterprisePlus. So move on and press the OK button and youre done.

2. If the OK Button is greyed out or you get a warning when performing your downgrade vom Eval(which is EnterprisPlus) than you have most likely a feature activated which isnt part of your new licensed. The GUI doenst give you the smallest hint which feature it is.  Most likely is HA, DRS, DRS or a VM with more as 8 vCPUs(when downgrade to free ESXi Hypervisor).
