According to http://kb.vmware.com/kb/1005593:
Microsoft has a different version of Sysprep for each release and service pack of Windows. You must use the version of Sysprep specific to the operating system you are deploying.
For example, XP has two versions of sysprep but only one directory of VMware sysprep directory, how to have both versions? one version would overwrite previous version in the same directory. Same applies to Windows 2003 x86.
In the case of vCloud Director, if sysprep is setup is it still required to setup sysprep in vCenter? If both have sysprep setup, will there be any conflict?

You can't have both. However, XP SP2 is EOL, as is 2003 SP1, so don't use those anymore, only use XP SP3 and 2003 SP2.

Definitely. You can skip it for any OS you don't use.
