I wild like to move my current Vcenter 4.0 server to Windows 2008 X64. Update Manager is installed on the current server. I would like to put Update Manager on a seperate server. I've tested this with moving a 2.5 vcenter to Windows 2008 and it warns you that Update manager was found on the database that the new server is being pointed to but not installed.

Yes, that is what I would do, to me it seems cleaner. Also, remove/uninstall any plugins or clients you have related to VUM on your "old" vCenter Server.
