Hi all,
I want to upgrade from a esx 3.5 to an esx 4 (both in the local disks). The VMFS datastore with esx 3.5 virtual machines (hardware 4) need to be preserve. And the question is, will the upgrade process (using host upgrade utility-vsphere client) overwrite the local VMFS???

No, it uses the same VMFS version. Your guests are kept. After the server is upgraded you need to update the VMWare Tools and then the virtual hardware.
