I have 1 vsphere server
and 24 hosts
my company decided to upgrade to esx 4.i not esx 4.0 with the cos.vmdk
Can I use update manager to upgrade esx 3.5 to esx 4i
i talk to a friend and he says that this is no upgrade path because esx 4i is a fresh install
so what will happend will all the previus settings ??

Your friend is correct!
I'm not aware of a tool which is able to transfer the settings. However if you have "Enterprise Plus" licenses, you can use the "Host Profiles" or dVS for easier configuration of the remaining 23 hosts.

FYI, ESX to ESXi or vice versa are not supported upgrade paths. There are no tools available as of now to achieve this inplace(standalone) upgrade scenario.
But, if you have multiple hosts and shared storage, you can upgrade your VI 3.5 infrastructure to vSphere 4.0 without down time. Please refer vSphere Upgrade guide for more information.

Yes, There are no tools available which will help to upgrade ESX 3.5 to ESX 4i.You can get VUM to carry out the upgrade to ESX 4 with all your settings preserved.
