or will i have access to do a cold migration once i shutdown the vc server vm ?

you can find the ESX Host in which your vCenter VM is running, power it down, make a note of the datastore, the go to another ESX Host, browse the datastore, right click on the .vmx and add to inventory.

Also, see this KB

Maybe you can use storage vmotion to move it, or make a clone.

If vCenter VM is still running, why not using vMotion to migrate it to another host. Otherwise, just follow what Troy said but don't forget to unregister the VM first and this not necessary if the original ESX host is totally down.

Yep, if the ESX server hosting is still functioning, you can access vCenter and VMotion it to another host. vCenter is capable of VMotioning "itself".

In a linked environment though, I would recommend having vCenter servers not manage the cluster they are located in.

As it has already been stated VMotion if you can and if you can't Troy's suggestion is great because it's simple. These only apply if you are running on shared storage. If for whatever reason your vCenter server isn't running on shared you will more than likely have to shutdow vcenter and connect up to the ESX host directly. You can the utilize the datastore browser to move the folder containing the VM to a different datastore. This method would require you to remove the VM from the inventory of the defunct host and add it to another host.

There is no cold migration button option without vCenter.
