Hello.

That proc should be fine. Are you using 64-bit Windows 2003 SP2?

Good Luck!

I have used 2 virtaual processors with 2 cores, still it didn't worked.

Now i tried installing in Windows 2008 server, it got installed.

Why vmware vcenter5 is suporting win server 2008 only,

what if some one is using win xp for vcenter4.1 previoulsy and want to upgrade to vcenter 5.

Should they need to build the vcenter from scratch ? how to upgrade the old vcenter in this condition?

Correct, you would need to migrate away from Windows XP, and any 32bit OS to use 4.0 or newer.   The "Data migration tool" may be of use in this case:  http://kb.vmware.com/kb/1021635
