I certainly don't want to speak out of place, since I haven't done this path myself. I have done upgrades from 2.5 (no updates) and 2.0.x to 2.5 U3 and they all needed database work. To clarify where the information is coming from:

I went to http://www.vmware.com/support/vi3/doc/vi3_vc25u3_rel_notes.html and went to the section title Upgrading or Migrating to VirtualCenter 2.5 Update 3.

That section has a link to the upgrade guide which is here. http://www.vmware.com/pdf/vi3_35/esx_3/r35u2/vi3_35_25_u2_upgrade_guide.pdf

On page 51, it says the DB needs to be upgraded. Funny thing about this guide is that it says for Update 2. I tried changing the U2 to U3 in the link and got page not found. Seems like there's probably some documentation or links that need to be updated.

U2 to U3, there is no DB upgrade involved. However, if possible and to be safe, I would still backup the DB if possible.

The installation will need to touch the database.

Standard practice would be to take your backup ahead of time. During the upgrade you just need to make sure your database user (the one setup in your ODBC connection) has the correct rights over both the VC database and the Master database. I'm not a DBA, and I left that task to someone who was better sutied to it, but the permissions are not complicated, they are documented, and can be removed after the upgrade is complete. If you have someone set your DB permissions ahead of time, it's a straight-forward upgrade.
