Moving ESX between Virtual Centres

I want to move a esx 3.5 server from one virtual centre to another virtual centre.  The virtrual centre its currently on is 4.0 and the one I want to move to is v4.1

The esx server has currently some Virtual machines running on it. So i would remove the esx server from the current VC and then add host in the new VC.

Just wanted to confirm when I remove the esx host from one virtual centre will it bring down the virtual machines, or cause an outage of the virtual machines.

Also is there any issues from moving from one VC v4.0 to VC v4.1 with a esx 3.5.

if you disconnect then remove your guests will not be impacted.  Once the host has been removed from the old instance, you can "add host" into the new.  However, if you are going to manage a VI3 Host in vCenter 4.x you'll need to keep you license server running (which I assume you have one if you are managing your VI3 guest in your vCenter 4.0.x environment).
