I just recently migrated 20 VM clients from ESX 2.5.4 to VM3. After I migrated it over, I can't upgrade the VMware tool on some of them. I think it is having some issues removing the tools. You can check the following link and see the process. Anyone have any ideas? Any work arounds? Thanks.

Make sure you have upgraded the virtual disk on the VM. That is usally the case when you've migrated from ESX 2.5.x to ESX 3.X.
I did, I can't power on the sysem without upgrade the hardware.

Not sure where you are in this process but as part of our conversion process we always remove the old tools before moving it over. Do you have the option to convert them again? or are they in use and you have to live with where you are?
If you have to live with where you are you could try, and i am totally make this up right here:
1) copy the iso file from the 2.5.x server for VMware tools for windows to your ESX host or to your client
2)manually mount the iso in VI client for your cdrom
3) try to run the uninstall?
Basically it is trying to do the uninstall but can't locate the uninstall files.

Alternatively, grab the msi file out of the iso file from the old server version, if you still have one running. There's a windows.iso in /usr/lib/vmware/isoimages with the tools inside.
