vCenter Heartbeat is a cluster solution which protects the vCenter services, So you will have two servers Primary and Secondary, One of the server would be active and other being passive, Incase if the active servers goes down, vCenter HB will failover the vCenter services to the passive node. No other steps to be performed.

Is it enough if i copy only .vmx and vmdk files The vmdk files contains the actual data of the VM's so this needs to be backed up, VMX files jut contain the configuration information of the VM and it is easy to create if the vmdk files are present. But if i want to exclude a virtual disk from the backup, i can't do it with "Export OVF Template" procedure OVF option exports entire content of the VM folders in compressed format. What is the exact of purpose of doing it manually? Yes cloning VM with the snapshot is possible. Please note that when you clone the VM snapshot the destination VM will consolidate the snapshot disk to the base disk.

These are few things which I check 1) Make sure BIOS settings is same on all host 2) Physical switch ports are properly confiured with the required vLAN, MTU, truck etc.. 3) If using vSS make sure all the vSwitches and relevant port group are created 4) Required LUN's are mapped to the host 5) If you host profile in place apply that and check for any non-compliance issue 6) Perform HA test, vMotion, Storage vMotion with test VM's and make sure the VM's are able to network when on the new host

Yes it can be done, but make sure teh vCenter is upgrade to the latest before you proceed with the upgrade of the host
