Cloning Server 2000 Box

We have an aging Server 2000 box running in a remote data center that must be replaced.  The server hosts a proprietary software application and for a host of reasons we can't just migrate and upgrade.  Our local beta server is no longer accessible.  We have to clone this box without damaging it.  I am told that I should install VM Workstation 10 and Stand-Alone Converter and use them to run a physical-to-virtual conversion, then copy the virtual machine file to any box running VW Workstation.

What are the risks to the original server?  What special steps must be taken?  The data center refuses to perform this task due to the fact the Server 2000 is no longer supported by MS.

Any Ideas?
