what VMware platform is this guest in question running on? Make sure the VM has no limits set.

... or what are you referring to by saying

Iam using Windows 2003 VM

no are you running esx/esxi, vmware server, worstation??

and is the hosts cpu running at 90% or is the vm vcpu running at 90%

I would run esxtop and see whats using the cpu and take it from there.
