Virtual machine always sees ~200-300MB less memory than assigned..?

All,

I'm sure the question is simple, but I'm curious. I create a vm (redhat AS4u7 x86_64) and I always see less memory than assigned. If I assign 8gb to the vm in VIC, I see 7774mb on the vm when it comes up. If I assign 4gb in VIC I see something like 3774.

Does ESX claim a portion of the memory for overhead or something?

Not presenting any issues for me, just would like to know why this happens.

Its not overhead for sure and even happens in case of physical server as well.
