P2V: unknown error when converting 2k3 (dual boot with XP) to VM

I'm running dual boot windows (XP Pro SP2 & 2K3 Ent. R2). I'd like to convert 2K3 to a VM and run as Guest OS on XP Host.

more details on dual boot:

XP SP2 (default OS) is on physical disk 1 partition 1.

2K3 R2 is on physical disk 2 partition 1.

I've tried VMConverter 3.02 & VMWorkstation Import Wizard on Win2K3. Neither worked - I got "unknown error."

Did anyone successd in doing this? Please help me w/ your detailed steps...
