What's the host OS?

Microsoft would be best placed to answer your question, but I believe it's a "yes".

Necessary as in "must"? Then the answer is no; you'll lose some features of Windows - customizing the desktop is one that comes to mind - but the system will work. I ran without a new license for a while after I switched from QEMU to VMware, but after my latest complete system reinstall the license started working again.
