Redistributing a Windows 2003 VMware machine?

If I build a Windows 2003 server and configure it for a specific use, can I give that to others (not just in my datacenter but clients) assuming it's not been activated or that it has been deactivated? I've been looking in various places for definitiive answers. I would assume you can if the recipient activates the machine and assumes the license.

Great idea. I'm assuming someone here has already done that leg work. Besides, my MS person was laid off. Anyone else have a decent idea? Maybe a link to the language or past experience?
