Problems upgrading from Win2k to Win XP

I'm trying to install WinXP Pro (full version, NOT upgrade disk) over a Win2000 w/SP4 VM. Host OS is Vista Business. When I try to boot from the installation CD (tried both physical and image mount), the installation fails right after the "Setup is inspecting your system..." message. It says that a file is missing; usually a different one each time i try.

I know the install disk is OK since i'm able to install into a new VM no problem. I've also made sure that the CD drive is connected at power up. I haven't seen anything similar in a search of this site.

I strongly suggest not upgrading any Windows OS but installing it from the scratch.

Your problem is very specific and unusual, I hardly believe anyone can help you. I can even suspect there's something wrong with your hardware (bad memory, overclocked CPU, bus controllers, etc).
