Convert machine to "ESX compatible" grayed out?

I got an virtual Windows XP. Originally created on VMWare Server and had since then been on an USB-drive with an consultant who has been using it with VMWare Player. I got the USB-drive back, and now want to import the machine to our ESX 4.0 cluster.

I tried to use the VMWare Convert ("import machine") from vCenter Server, but it fails and the logs says

Anyway. I tried to open the machine with VMWare Workstation instead to maybe convert it, and it says it's a "version 5.x"-machine. But if I try to use the "change/upgrade"-version wizard the "ESX compatible" checkbox is greyed out (doesn't matter what version I choose).

Is there anyway to make this machine ESX compatible so I can import it to ESX 4.0?

I would perfer to do an "offline" convertion, because this virtual machine got no network card.

The only hardware I see in VMWare workstation is 2 x CPU, 4 x Hard Drive (SCSI) and 1 GB of RAM.

please post the vmx-file and a file-listing. Looks like the virtual hardware was upgraded or the user added unsupported devices while using vmplayer.
