Nope. The CPU is virtualized (not emulated), so VMs will see the same physical CPU as your host and have only its capabilities.
So that mean that I can run a 64bit Guest OS (linux) on a 32 bit WinXP host on a 64bit CPU?
It does not matter if you host is running a 32-bit or 64-bit host OS.
You need a supported 64-bit physical CPU in your host
