Ubuntu 11.10 Guest sluggish, keys repeat, clock races

Host: AMD Athalon 64 X2 Dual core, 2.01 Ghz, 2GB Physical Memory, Win Xp Pro SP3

VMWare Player ver 4.0.2 build 591240

Guest: Ubuntu 11.10, 1 processor, 1 GB Ram. 20 GB HDD, 15 GB free in VM

The guest OS experiences sluggish response and the keys repeat like crazy!  I turned on the seconds for the clock display and noticed as I moved the mouse, the seconds would surge.  I cant figure out what the issue is.

I have defragged teh VM disk.  Turned off HOST virus checking of the folder containing the VM.

I do get a crazy error window on the host when starting:

Windows - Drive Not Ready   Exception Processing Message c00000a3 Parameters 75b6bf7c 75b6bf7c   but I think that is a benign failure.  I hit continue and Ubuntu starts normally.

Looking in the Ubuntu.log file the only suspicious thing i see is a failure to load the \VMWare\VMWare Workstation\Config.ini.  I am running VMPlayer.  there is a \VMPlater\Config.ini file but it hasnt been touched since i loaded VMPlayer
