Hello,
I am trying to setup a network between a host (Win7 64bit) and a guest OS (Win XP 32bit), I need to be able to communicate both ways (host to guest, guest to host).
From documentation, I understand that host-only network is what I should be looking for, but to no success. I only managed to be able to ping host from guest when I set the network to NAT, but I was not able to ping guest from host anyway.
Firewalls are disabled in both systems, using VMWare Player 3.1.2 build-301548
Could someone help me please?

I have a question for you, why are you using an older version of Player? The current version I believe is 3.1.4.
If you look at the result of your IPCONFIG /ALL on your host, you will find that you received the following address
VMNET1: Host-Only: Autoconfiguration IPv4 Address. . : 169.254.234.115
VMNET8: NAT Network: Autoconfiguration IPv4 Address. . : 169.254.12.139
The above addresses are basically last resort address. Somehow the address is not set properly on the card and until this is fixed you won`t be able to establish a network between your host and your guest.
Your Guest has the following:
192.168.28.132
Subnet Mark: . . . . . . . . . . : 255.255.255.0 without a gateway.
That means that your guest PC can only talk to anything that has an IP address of 192.168.28.x which is not the case for the above addresses.
Until you get that part fixed, you may try to define your guest as bridged. It will get an IP from your DHCP server in the range 10.238.2.2xx and you should be able to exchange between your guest and host that way.
