migration of 4.1 to 5.1 Hosts/Guests from Nexus 1000V to VDS using Power CLI

IS there script out there that will migrate a host and Guests on that respective host from a ESXi 4.1 Virtual Center with Nexus 1000v switching, to a new ESXi 5.1 Virtual Center with a VMWare VDS.

I do not want to upgrade the host to 5.1, or the guests. only move them from 4.1 to 5.1 Virtual Center, and upgrade at a later date
