Windows 8 Upgrade error (from Windows 7) in Fusion 5

I'm having an issue upgrading my Windows 7 VM to Windows 8.  Specifically, the error I am receiving occurrs after the installation and during hte bootup process.  The error is:  Page Fault in a nonpaged area.   Has anyone else run into this?
Here's the general flow to trip the error:
-Click new found install windows shortcut on my desktop
-Selected Install Now
-It says it is preparing
-It then says it is checking my system to see if I'm ready
-It gives me a next button I hit it and the install
-The installation goes through successfully 0->100%
-Reboot
-Getting Devices Ready 0->100%
-Getting Ready 0->100%
-Reboot
-See the window Icon and the circle of small balls spinning for 3ish minutes.
-Then a screen pops up saying system error "Page fault in a nonpaged area".  Then something to the effect of look online
-Reboot
-Windows icon again for few seconds
-Screen to the effect of system error occurred we will be resetting you back to windows 7
-My previous image of windows 7 is restored.

I haven't run into that problem but since you're using Fusion 5, and 5 allows Win 8 and Win 8 x64 as OS choices, just before the update is run have you tried changing the OS type to whichever upgrade you're doing and, if necessary, reinstalling VMware Tools? I'm assuming you've set compatibility to Hardware version 9 if the VM was created in Fusion 4 or earlier.
