VMWare Tools and Windows 2003 Server (x64)

Specially, when running (x64) edition of Windows Server 2003, why does VMWare Tools take so long to start up after login ?

You can even see status bar icon "VMWare Tools is not running" but it you wait a bit it changes.

This wouldn't be much of an issue, except sometimes it halts other apps from starting..

This is on a clean install,,, and only occurs when cold boot.. login out and login woks fine (probably because its already loaded)

What is the version of VMware tools running?

For server 2003 the latest version of VMware Tools is 10.0.12-4448496.

Windows server 2003 is EOL and hence you need to check if you are running a compatible vmware tools with it.
