Shutdown of Fusion 2 and XP SP3 causing Kernel Pan...

I am using VM Ware Fusion 2.0.1, Mac OS X 10.5.6, and Windows XP SP3 with all the updates on a new MacBook Aluminum.

Over the last week or so, every time I shut down my virtual machine, I a get a kernel panic that forces my MacBook into a complete system freeze. The screen goes gray and a warning comes up that I must hold down the power button until the system restarts.

Once the system restarts, I get this as the kernel panic:

I have tried adjusting RAM and process or settings (currently at 1 CPU and 1024MB RAM). This has never happened and I can't figure out what could be causing it - anyone want to take a guess??

I am using VM Ware Fusion 1.1.3, Mac OS X 10.5.6, Windows XP SP3 on a Mac Mini and have also just started experiencing the same exact problem. I accept all Apple sw updates and have just installed an update. Not sure what it was for.
