you can measure ESX performance with performance graphs (cpu/mem) or with esxtop (directly from ssh/console)
Plan to upgrade is as following:
1. VC upgrade to vCenter4
2. ESX upgrade to vSphere4
3. VMTools upgrade
4. VM version upgrade.
this should help with VM upgrade process (should do backup of /etc/fstab, ip configuration) vm upgrade
