After upgrading our 4 seperate ESX 3.01 servers to 3.5 and clustering them (DRS and HA enabled) we've got a problem with random VMs maxing their CPUs. Rebooting the VMs doesn't help either. They have to be powered off and powered on again. One of our older Windows 2000 VMs maxed a couple of hours ago and even when I shut down the OS and the server stops at "It is now safe to shut off...", VIC still reports max CPU usage.
Any hints?

Yes. Checked and confirmed. All running 3.5.0 Build 70348.

Take a look at this KB article
I found a possible correlation between migrations and the cpu problem so I'll definately check this out the next time a VM peaks.
The biggest problems were with 2 critical servers that we changed to manual automation level to prevent them migrating and the problem hasn't occurred on these servers since then. This strengthens the likeliness of this being related to the kb article you posted.
I'll give you the points for a correct answer once I verify. Thank you very much so far!
