I Dmotioned VMs from esx 2.5 to 3.0.1. Upgrade virtual hardware and vmtools... the question is...is necessary "relocate VM files" in the esx 3.0.1?

I would recommend doing this because at the end of the exercise all the VMs data and configuration files would reside in one folder on the datastore.
