Upgrading 3.0.1 to 3.0.2

I have two ESX servers. One is 3.0.1 running two VMs and one has none on it and has a fresh upgrade of 3.0.2 installed.

Doing an upgrade from 3.0.1 to 3.0.2 on the other server.

I am running a fresh install of VC 2.0.2. Are there any problems migrating the VMs from 3.0.1 over to the 3.0.2 ESX host while I do a tarball upgrade of the 3.0.1 host?

Shouldn't be. Just make sure to upgrade your VirtualCenter Server before your ESX Server hosts.

No problem. The VMs' Tools will be out of date though, once you've moved them so you might want to upgrade that piece too.
