i have installed Windows 2003 Enterprise Edition on a virtual machine.

You need to create the VM Network.
Select the host to config.
goto to cofiguration tab on the right panel
select add networking
type = Virtual Machine
next
Create vSwitch and assign the Physical NIC

ESX 3.5
By default ESX 3.5 creates a VM Network and is associated with a physical NIC on the host, that NIC must be connected to a physical network that has internet etc.
The VM Network is available to be mapped as an adaptor to the VM's
Edit the VM settings and add an adaptor to the VM and then install the VMware tools.
If dhcp is configured on the physical net it should get an IP, otherwise configure the adaptor statically and assign the correct IP addres and gateway.
Done.
hi i appreciate your help. But when i go to add the ethernet adapter, it says i cannot because "the host does not have any virtual machine networks configured"

Since you're new to ESX 3.5 I suggest you read this Basic System Administration guide and spend sometimes reading more advance guides from as well as www.vmware-land.com has tremendous number of resources.
Typically, during ESX 3.5 installation, it should give you option to create virtual machine network and if you check it, it will created for you but you can create one like mentioned.
1. Select your ESX host ->click on Configuration tab->Click on Add Network link
2. Select connection type->check Virtual machine->select available vSwitch and next
3. Enter Network Label and VLAN ID if you have one and enter all TCP/IP information and click finish.
