Upgrade ESX3 to ESX 3.5

I have esx server 3.0.1 running in my environment with enterprice license.

I wanted to upgrade esx to 3.5 and VC from 2.0.1 to 2.5

what is the procedure for upgrade?

what about the license? do i need to buy license for new version?

where can i download the latest version of esx server which is upgradable from esx 3.0.1

You do not need to buy a new license. Download it from here

If you have a current support licence then you can upgrade to 3.5 w/o additional costs. The old 3.0 (VC 2.0) licence are still valid.
