32-bit vs 64-bit SQL2005

Hi there.

Databases and HW architecture are not really my piece of pie, so I don´t really know how to answer the question the get the right answer but I´ll give it a shot.

If I understood everyting correct the main issue for choosing the more expensive 64bit version of SQL 2005 is if you have a need to address more memory than 2GB or 3GB with a setting in boot.ini and that AWE not is a good option due to its limitations.

So my question is: Is there any other consideration that I need to bear in mind in a vmware environment when I choosing between 32 or 64 bit system?

Can I take 100% advantage (as if it would be on a physical 64-bit HW) of the 64-bit arcitecture of the operating system in the ESX 3.0.2 environment?
