I have to decommission a huge cluster running 3.5 ESX. How I can reuse my 3.5 licenses to my new ESXi 4.1 enterprise cluster?

there will be a huge hardware difference as well (G1 to G7)

You will need to upgrade the licenses to v4 at the licensing portal. Check out the vSphere 4 Licensing for more information.

Since you have to upgrade why not got ot vSphere 5?
