Fighting for two days with upgrading VMware Tools on Win 2003 R2 from V 4.0 to V 4.0 U1.
On most machines it hangs infinite, on those it finishes the video driver seems to be broken. The correct video driver shows to be installed however mouse movement is sluggish like vmtools not beeing installed at all.
Installing the tools on Win 2003 R2 without any prior version installed works without problem.

In my experience sluggish mouse movement is normally caused by hardware acceleration not being set to full. It might be an idea to check that it is set correctly.
When you say that the upgrade hangs, how far do you get? Do you see the VM Tools CD being mounted in the VM? If it is mounted can you then run setup from the CD?

We did not install from CD but extracted the setup files from the iso and run setup by a software deployment solution. The problem is that the msi install process itself hangs on some machines.
We already checked the HW accel settings and they were in place. The cause here was the video driver or mouse driver not beeing properly updated.
The only solutionthe upgrade always works was to:
1.) Uninstall VMware tools from 4.0
2.) Reboot
3.) Login and wait until hardware installation wizard completes and asks for another reboot.
4.) Reboot
5.) Run setup of VMware tools 4.0 U1
6.) Reboot
Needless to say that doing this unattended is quite hopeless and 3 reboots for upgrading is quite ugly.
In the past there also have been minor issues when upgrading VMware tools with a few versions (e.g. with VMI3) but never that severe.
