Need a wee bit more info here: what version of ESXi moving from? Going to? Do you have host acceptance levels set?

What method are you using for upgrade?

Have you had a look at the upgrade log (which might give some clues). You can find it at /var/log/esxupdate.log

Is a clean install of 7.0U3 an option for you? This may be a clean way to get around the upgrade issue.

What hardware are you installing on? Make sure the server meets the minimum requirements for ESXi 7.0. You can check this via the VMware Compatibility Guide
