Little late but, finally we are going to upgrade our 8 Host 3.5 Infrastructure to 4.0
We have some doubts.
Q.1. Is it better to go with fresh installation of vCenter and adding the stuff into it?
We are ready to re-configure the Security settings like Access to VMs, Resource Pool etc.
Q.2 Can we add ESX 3.5 and ESX 4.0 in One Cluster If yes then
Can we vMotion a VM from ESX 3.5 to ESX 4.0?
Ad 1.) I would go for a fresh install. That cleans up a lot. There are some PowerCLI scripts to export information from your old VMware Infrastructure server and to import this information in your new vCenter server.
Ad 2.) Afaik you can have ESX 3.5 and ESX 4.0 in one cluster. I am sure that you can vMotion from ESX 3.5 to ESX 4.0.

1) You can upgrade with out issue - what you lose is historical data and the settings of your environment but it sounds like your ready to reset these so it will not be a problem - http://www.vmware.com/pdf/vsphere4/r40_u1/vsp_40_u1_upgrade_guide.pdf for more information
2) You can vmotion between ESX(i) 3.5 and ESX(i) 4.0 and they can be in a common cluster with vCenter 4.0 - however if you create a vm with the new virtual hardware the vm will not be able to run on an esx 3.5 host -
