ESXi don´t have linux!!! only KERNEL of VMware. (without console)
ESX (withou "i") there a linux and KERNEL of VMware. (with console)
acess console and run uname -a
example output of command.
VMkernel hostname.domain.com 4.1.0 #1 SMP Release build-348481 Jan 12 2011 17:05:17 x86_64 unknown
you can check the release with vi client too. click in host.

It might be like Linux 2.6.x, but I would to be sure.

dear sacden,
It mean ESXi does not have any console like ESX (Featuring of Linux kernel), so compiling a driver for NIC will be of no use, pls check with NIC vendor for compiled driver for ESXi 4.1.
