One has the console, ESXi does not. Some security conscious sites don't want access to the server via putty / SSH, so you take away ALL temptation.

You have technical difference (thanks to Troy), so I just give you my opinion, not technical review:

ESX has service console with lot of service commands etc, I actually open it about once a month, because somebody asks me syntax of some command. And you can install ESXi on USB flash, leaving physical server diskless.
