ESX 5 virtual server dropping packets - ESX 4.x didn't

ESX 4.1 vm running fine and no issues for over 1 year.  Upgrade to ESX 5 and now I have this interesting situation.  Server 1 pings Server 2 and Server 2 pings Server 1.

Server 1 drops packets to Server 2 but Server 2 doesn't drop packets to Server1 during the same time period.

Both machines using Virtual Hardware 8, VMXNET3 NIC.  Both servers also on same host and same network connection and same storage array.

Problem didn't exist when Server 2 was on ESX 4.1 host and virtual hardware was at 7.

Any help or ideas would be appreciated.

Is the server (and its components) that ESXi 5 is installed on on the HCL?

Which guest operating system are you using? Are you seeing any other strange issues with the guests like high CPU load?
