No, there's no upgrade path from ESX 4.0 to ESXi 4.1. However. according to the vSphere 5 Upgrade Guide (see http://www.vmware.com/support/pubs/vsphere-esxi-vcenter-server-pubs.html) an Upgrade from ESX/ESXi 4.x to ESXi 5.0 is supported (as long as the 4.x installation is not an upgrade from 3.x)

As far as I know it's not possible. I heard about project (started by VMware) that it would be possible to migrate from ESX 4.X to ESXi 5 but I couldn't find further information about it.

I believe there is no upgrade path using Update Manager or any tools to upgrade from ESX 4.0 to ESXi 4.1.
The only time you can upgrade an ESX to ESXi is from ESX 4.x to ESXi 5.0 using update manager. However there is a different when you upgrade ESX 4.x or ESXi 4.x to ESXi 5.0 on the local store where ESX is installed.
