We are going to perform a P2V of XP workstation to VM.
We would like to change the vCPU from 2 to 1 & RAM from 1GB to 512MB.
We would like to know should we change the vCPU & RAM configuration before we call MS for reactivate the XP license OR should we reactivate the license before changing vCPU & RAM ? We believe that the first option should be correct.

Schepp is right, it really doesn't matter but I alwasy P2V, reconfigure then reactivate, just easier and doesn't break activation afterwards.
What I would watch out for is the fact that the physical XP machine is running an ACPI HAL because it was installed on a dual CPU box, going back to a single CPU will not cause XP to rescan and load the correct HAL which can cause no end of grief including a running but unusable XP machine.
Good news is all of the XP VM's we use actuall run much better with dual vCPU's, I P2V as dual vCPU then check out the VM performance indicators really well including esxtop. All VM's we run here are dual vCPU, W2k3 and W2k8 32/64bit, XP 32/64bit and Windows 7 32/64 bit, utilization here shows better performance.
