I think it only comes with Enterprise 3.0.x

PETool.exe is provided with the download of the Cold Clone ISO.

VI3 Customers: http://www.vmware.com/download/download.do?downloadGroup=VC250U4

vSphere Customers: http://www.vmware.com/download/download.do?downloadGroup=VC40

Login with a username that is associated with the VMware vCenter Server license

Accept the EULA

Download the "VMware vCenter Converter BootCD for vCenter Server" ZIP File

petool.exe is inside this zip file..
