This issue is resolved in ESXi 5.1 Update 2. Hope you see thsi article http://kb.vmware.com/selfservice/microsites/search.do?language=en_US&cmd=displayKC&externalId=2059053

Also workaround is provided. Do you want to know how to upgrade to U2?

This is the recommendation from VMware to workaround this issue. But it would be better i f you upgrade to U2.

"

To work around this issue if you are unable to upgrade, identify virtual machines using the E1000 family of virtual network interfaces and perform one of these options:

Use the VMXNET3 virtual adapter and reduce the usage of the E1000 series adapter as much as possible. For more information on adding or modifying a virtual machine's virtual network interfaces, see the Configuring and Managing Virtual Machines - Network Virtual Machine Configuration section of the Virtual Machine Administration Guide for the appropriate version of ESXi.

Or

In virtual machines using the e1000e adapter, disable RSS or configure the RSS multiple rx queue to 1 in the guest operating system. For more information, see Poor network performance or high network latency on Windows virtual machines (2008925).

"

Yes, I would upgrade to vmxnet3 to prevent the PSOD if you are not going to upgrade ESXi version. There are performance benefits using vmxnet3 also.
