Can i use esxupdate from the shell
The supported methods to update an ESXi 4.1 host is either to use Update Manager (if you have vCenter Server licensed) or the vihostupdate utility for a single server. You can find some walk-trough guides on the web like http://paulgrevink.wordpress.com/2011/02/13/installing-esxi-4-1-update-1-with-the-vihostupdate-utili... (although this is for Update 1 it will work the same way for Update 2)
Make sure you download the correct bundle for ESXi though. (the one you mentioned is for the classic ESX).

PS: And yes, the VM's have to be powered off and the host needs a reboot!

should be helpful.
But if you are going for command line esxupdate, then http://www.vmware.com/pdf/vsphere4/r40/vsp_40_esxupdate.pdf is a good read. Though it is for 4.0, the same will apply for 4.1, since command line has not changed much from 4.0 and 4.1

Can someone help me get the above zip file asap?

"I am not entitled to download this."
I believe that might happen, if you have not filled in your profile details completely. with the new change in My Vmware and all, I am also getting this message now and then for some products.
